The Corporate Law (Hons.) at University of Petroleum And Energy Studies (Upes).

The Corporate Law (Hons.) programme from UPES School of Law offers a unique and in-depth education aimed at elucidating the complex web of laws and regulations applicable to corporations.The specialization provides a comprehensive background on several aspects of Corporate law that students will need to effectively respond to the legal issues that corporations will face in an increasingly complex global business environment. The program is structured to provide students with an extensive background on a range of subjects in Corporate Law to allow students to build a beneficial career. The Corporate Governance portion of the studies explicates the law principles involved in the relationships among various participants (e.g., shareholders, directors, officers, etc.). Some of the topics discussed include structures of boards, fiduciary duties, executive pay, and corporate social responsibility. Corporate Restructuring studies will examine the law in relation to mergers, acquisitions, takeovers, and reorganizing. Aspects of law to be considered include the scope of the deal and the relevant legal obligations for parties involved in the corporate deal. For example, students will learn about disclosure obligations, due diligence reports, negotiations and deal structure, the approval processes for shareholders, and dealt related contracts (including regulatory obligations). Securities Market Regulation will study the frameworks for both the issuance and trading and regulation of securities in domestic and international markets. Students will examine various securities laws, disclosure requirements, insider trading, market manipulation, and enforcement measures. International Trade and Investment Law will present students with an opportunity to review the legal implications of cross-boundary transactions and dispute resolution. Students will learn about an international trade studies framework which will include customs, tariffs and duties, and will also examine investment treaties.
